Introduction & Scope

These policies describe the legal terms, responsibilities, and limitations applicable to the products and services provided under the names CoinxPay (a USDT payment gateway) and CXP Wallet (a non-custodial Web3 wallet application). The purpose of these policies is to clearly define the relationship between the operator of CoinxPay/CXP Wallet (hereinafter "the Provider") and the users of the Provider's software, tools, and services (hereinafter "Users" or "you").

Key points:
  • CoinxPay is a technology provider only — it facilitates payment forwarding for USDT and related operations via on-chain transactions;
  • CXP Wallet is a client-side, non-custodial Web3 wallet that stores private keys and transaction data locally on the user's device;
  • The Provider does not take custody of, store, or control users' funds or private keys;
  • These policies allocate responsibility for legal compliance, misuse, and other risks primarily to the User to the fullest extent permitted by applicable law.

Terms & Conditions

Effective: December 2, 2025

1. Acceptance of Terms. By accessing or using any product or service identified as CoinxPay or CXP Wallet, including but not limited to the CoinxPay gateway, its integrations, software downloads, and the CXP Wallet application, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the Provider's products or services.

2. Nature of the Service. The Provider offers software and technical tools that enable users to create, sign, and transmit blockchain transactions. The Provider is not a bank, financial institution, money transmitter, or escrow agent. All blockchain transactions are final and irreversible once included in the applicable blockchain.

3. Non-Custodial Operation. CXP Wallet is non-custodial: private keys, seed phrases, credentials, and any locally stored wallet data remain under the exclusive control of the User. The Provider does not hold, control, or have access to Users' private keys or funds.

4. No Financial Advice. The Provider does not provide legal, tax, investment, or financial advice. Nothing in these Terms should be construed as such advice.

5. User Representations and Warranties. By using the Service you represent and warrant that (a) you are legally permitted to receive, hold, and transfer cryptocurrencies in your jurisdiction; (b) you will use the Service in compliance with all applicable laws and regulations; and (c) any information you provide to third parties via the Service is accurate and lawful.

6. Limitation of Liability. To the maximum extent permitted by law, the Provider, its officers, directors, employees, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, loss of profits, loss of data, loss of goodwill, or any damages resulting from:

  • Loss or theft of private keys or seed phrases;
  • Unauthorized access to a User's device or account;
  • Incorrect or mistaken transactions, including sending crypto to the wrong address;
  • Interruption, suspension, or termination of the Service; or
  • Any damages arising from reliance on the Service.

7. Indemnification. You agree to indemnify and hold harmless the Provider and its affiliates from and against all claims, losses, liabilities, damages, expenses and costs (including reasonable legal fees) arising out of or related to your breach of these Terms, your violation of applicable law, or your misuse of the Service.

8. No Refunds; Finality of Transactions. Blockchain transactions are final. The Provider has no ability to reverse transactions or to retrieve funds sent in error. All transaction reversals, refunds or recovery efforts, if any, must be pursued directly by the User through on-chain means or via the counterparty with whom the transaction occurred.

9. Changes to the Service and Terms. The Provider may update or modify these Terms at any time. Updated Terms will be posted on the Provider's website or distributed via the application. Continued use of the Service after publication of changes constitutes acceptance of the updated Terms.

10. Governing Law & Jurisdiction. These Terms are governed by the laws of the jurisdiction of the Provider's principal place of business (insert jurisdiction here). Any dispute arising under these Terms shall be resolved by courts of competent jurisdiction in that jurisdiction, except where mandatory consumer protection laws require otherwise.

11. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Privacy Policy

Effective: December 2, 2025

1. Summary. This Privacy Policy explains how the Provider handles personal information in connection with CoinxPay and CXP Wallet. The Provider is committed to protecting privacy; however, the Provider's products are intentionally designed to minimize or avoid collection of personal data.

2. Data Minimization & Non-Collection. The Provider does not collect or store user private keys, seed phrases, wallet backups, transaction histories, or other personal data when Users operate the CXP Wallet in its default, non-custodial configuration. The Provider does not log blockchain transactions or maintain a database of user balances.

3. Local Data. Certain functionality of CXP Wallet necessarily stores data locally on the User's device (for example, private keys, cached transaction data, or configuration preferences). That data is under the User's control and subject to the security practices applied by the User to their device (passwords, device encryption, backups).

4. Optional Data Sharing & Third-Party Services. If a User chooses to connect CXP Wallet or CoinxPay to third-party services (for example, analytics, payment processors, fiat on-/off-ramps, or cloud backups), the Provider may transmit data required to enable that connection only with the User's affirmative action. The Provider is not responsible for the privacy practices of third-party services; Users should consult the relevant third-party privacy policies.

5. Legal Requests & Compliance. Because the Provider does not retain user custodial data or transaction records, the Provider generally cannot comply with data preservation or production requests relating to private keys or on-chain transactions beyond providing publicly available blockchain transaction identifiers that a User voluntarily supplies. In the event the Provider holds any user data (for example, limited support records), the Provider will disclose such data only when required by law, and to the minimum extent permitted by law.

6. Security. The Provider employs reasonable technical and organizational measures to secure hosted systems, code repositories, and any backend infrastructure that the Provider controls. However, because the CXP Wallet is non-custodial, the security of wallet private keys and backups is the User's sole responsibility.

7. Children's Data. The Service is not intended for use by minors under the age required by applicable law. The Provider does not knowingly collect personal data from children.

8. Changes to this Privacy Policy. The Provider may update this Privacy Policy occasionally. Material changes will be posted with a revised effective date.

KYC Policy

Effective: December 2, 2025

1. No Mandatory KYC. The Provider does not require new or existing Users to complete Know-Your-Customer (KYC) identity verification in order to use the basic features of CoinxPay or CXP Wallet. The Services are intended to be accessible without identity verification.

2. Exceptions & Third-Party KYC. Certain third-party services integrated by Users (for example fiat on-/off-ramps or regulatory gateways) may require KYC. In such cases, KYC is performed by the third party and governed by that third party's policies. The Provider is not responsible for any KYC process performed by third parties.

3. User Acknowledgement. By using the Service without KYC, Users acknowledge that their activities may be restricted by regulators in some jurisdictions, and that banks, exchanges, or counterparties may require identity verification to receive, convert, or liquidate digital assets obtained through the Service.

4. Limited Support Records. If Users contact Provider support and voluntarily provide identifying information to receive assistance, the Provider may retain such information for the limited purpose of support and quality improvements. Any retained support information will be handled in accordance with this Privacy Policy and applicable law.

Anti-Money Laundering (AML) Policy

Effective: December 2, 2025

1. Provider's Role. The Provider offers decentralized and client-side software tools. The Provider does not custody user funds and, in general, does not observe or record on-chain transaction details associated with Users. Consequently, the Provider does not operate a transaction monitoring program of the sort implemented by custodial financial institutions.

2. No Transaction Monitoring; No Reporting Capacity. Because Users' transaction data and private keys are not held by the Provider as a matter of standard operation, the Provider is not in a position to perform AML monitoring or file typical regulatory reports such as Suspicious Activity Reports (SARs) unless the Provider is otherwise required and able to do so by law with respect to information it actually controls.

3. User Responsibility & Compliance. Users are responsible for ensuring that their own use of the Service complies with applicable laws, including anti-money laundering, counter-terrorism financing, and sanctions laws. Users must not use the Service for illegal purposes. The Provider expressly disclaims liability for any illicit use of the Service by Users.

4. Cooperation Where Required by Law. To the extent the Provider possesses or can access records responsive to a lawful governmental request, the Provider will comply with such requests to the extent required by law. The Provider will provide only the minimum information legally required.

Dispute Resolution. Except where otherwise required by mandatory law, you agree that disputes arising from or related to these policies shall be resolved in the courts of the Provider's principal place of business or by other dispute resolution mechanisms stated in local terms.

Entire Agreement. These policies constitute the entire agreement between you and the Provider regarding the subject matter herein, and supersede any prior agreements.
